"clipcutpro.com," operated by SchooIT, offers you, a user, "clipcutpro.com" and related services on the condition that you accept all of our established terms, including these Terms of Service and all related policies.

Thank you for using the video generation software and services of "clipcutpro.com" (the "Services"). These Terms of Service (the "Agreement") establish what rights you have regarding the assets (e.g., videos) generated by the Services, your use of the Services, and other important topics. Please read this Agreement carefully.

2. Service Availability and Quality

We continuously develop our Services to improve them for you. The Services may be changed and modified, including but not limited to the style of generated videos, the algorithms used to generate the assets, and features available to you. No guarantees are made regarding the quality, stability, availability, or reliability of the Services.

Please do not create dependencies on any features of the Services or the assets. We are not liable to you or your downstream customers for damages caused by your dependency on the Service. Both the Services and the assets are provided to you "AS IS", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

You are solely responsible for determining the appropriateness of using or redistributing the assets and assume all risks associated with using the Services. "clipcutpro.com" reserves the right to suspend or block your access to the Services at any time and for any reason.

3. Age Requirements

By accessing the Services, you confirm that you are at least 18 years old and meet the minimum age for digital consent in your country. If you are old enough to access the Services in your country but not old enough to have the authority to consent to our terms, your parent or guardian must agree to our terms on your behalf.

Please ask your parent or guardian to read these terms with you. If you are a parent or legal guardian and you allow your teenager to use the Services, these terms also apply to you and you are responsible for your teenager's activities on the Services.

"clipcutpro.com" attempts to make its Services PG-13 and family-friendly, but the assets are generated by an artificial intelligence system based on user queries. This is a new technology and it does not always work as expected. No guarantees are made regarding the suitability of the assets for the customer.

4. Your Information

By using the Services, you may provide "clipcutpro.com" with personal information such as your email address, username, uploaded videos and text inputs, or sample images you upload to the Service. Our Privacy Policy describes what we do with your personal data and the rights you have regarding your personal data.

Both parties commit to comply with all applicable privacy laws. To the extent that the parties need to enter into additional terms regarding privacy or data transfer, the parties will work together in good faith to establish such terms.

5. Copyright and Trademark

To the extent permitted by law and as between you and SchooIT, you own your uploads and you agree that SchooIT owns all assets generated with these uploads. SchooIT grants you the exclusive rights to display and use (privately & commercially) all generated videos created for you and will not resell these videos or use them in any way or assert copyright on these videos against you or your end users, provided that you comply with these terms and our content policy.

If you violate our terms or content policy, you lose the rights to use the videos, but we will give you written notice and a reasonable opportunity to cure your violation unless it was obviously illegal or abusive. You understand and acknowledge that similar or nearly identical videos may be created by other people with their own input prompts and your rights are limited to the specific videos created for you in your chosen account.

6. DMCA and Takedown Policy

"clipcutpro.com" uses an artificial intelligence system trained on public datasets to produce its assets. Such assets may unintentionally be similar to copyrighted material or trademarks that you own. We respect the rights of rights holders internationally. If you believe that your copyright or trademark is being infringed by the Services, please write to privacy@clipcutpro.com and we will process your request.

7. Dispute Resolution and Applicable Law

ALL LEGAL CLAIMS ARISING FROM OR IN CONNECTION WITH THIS AGREEMENT (INCLUDING ANY DISPUTES REGARDING THE INTERPRETATION OR PERFORMANCE OF THE AGREEMENT) ("Dispute") SHALL BE GOVERNED BY THE LAWS OF SWITZERLAND. The parties will attempt in good faith to resolve any Dispute within 30 days of the Dispute arising. If the Dispute is not resolved within 30 days, it will be resolved through the EU Commission's Online Dispute Resolution platform: http://ec.europa.eu/consumers/odr/.

8. Ownership

Customer Ownership: By using our Services, you retain full ownership of all videos and data that you upload, store, or transmit through our platform. We make no claims or proprietary rights to your videos or data.

Usage Restrictions without Express Consent: We are committed to respecting your privacy and ensuring the security of your videos and data. We will not use, sell, rent, or otherwise exploit your videos or data without your express consent.

Limited Data Processing: We may process your texts, videos, and data only for the purpose of providing our services to you, including but not limited to storage, retrieval, backup, and data analysis, in accordance with applicable privacy laws and regulations.

Data Security Measures: We implement reasonable security measures to protect your data from unauthorized access, disclosure, alteration, or destruction. Please note, however, that no transmission over the Internet or electronic storage is 100% secure and we cannot guarantee absolute security.

9. Payment and Billing

We will provide you with various subscriptions or packages to choose from for your use of the Services through a third-party payment service provider and, if selected, bill you as described. In the event of a conflict, the terms and conditions of the third-party provider shall apply and supersede this Agreement.

We also reserve the right to terminate your access to the Service for any reason, including violation of the Community Guidelines or other inappropriate use of the Service. Upon cancellation or termination, access to the Service is immediately lost and the account is added to the deletion list.

Refunds requested within 14 days of purchase are eligible for a full refund if the Services have not been used, no videos have been uploaded, no models created, or no custom videos generated by the Services. We reserve the right to withhold up to 10% of the sale price for refunds.

10. Community Guidelines

Be nice and respect each other and the staff. Do not create videos or use text prompts that are fundamentally disrespectful, aggressive, or otherwise abusive. Violence or harassment of any kind will not be tolerated.

No adult content or violence. Please avoid creating visually shocking or disturbing content. We will automatically block some text inputs.

Sharing others' creations. Do not publicly post others' creations without their permission. Be careful when sharing. It's okay to share your creations outside the "clipcutpro.com" community, but please consider how others might view your content.

Violations of these rules may lead to exclusion from our Services.

11. Limitation of Liability and Indemnification

We offer the Service "as is" and we make no promises or guarantees about it. You understand and agree that we are not liable to you or third parties for loss of profits, use, goodwill or data, or for any incidental, indirect, special, consequential, or punitive damages.

You are responsible for your use of the Service. If you harm someone else or get into a dispute with someone else, we will not be involved. If you knowingly infringe someone else's intellectual property and that costs us money, we will find you and collect that money from you. We might also do other things, like try to get a court to make you pay our attorney's fees. Don't do that.
